Terms of Service

1. The Service

Phthos provides a multi-provider LLM gateway, observability, and orchestration platform. Features may include model routing, caching, RAG, vector stores, agent workflows, billing, and workspace management. We may add, change, or discontinue features at any time.

2. Eligibility and accounts

• You must be at least 16 years old and able to form a binding contract to use the Service.
• You are responsible for your account credentials, API keys, and all activity under your account.
• You must provide accurate registration information and keep it up to date.
• Organisation owners and admins are responsible for inviting members and configuring access appropriately.

3. Acceptable use

You agree not to:

• Use the Service in violation of applicable law or third-party rights.
• Submit unlawful, harmful, abusive, or infringing content through the gateway.
• Attempt to bypass usage limits, security controls, or billing meters.
• Probe, scan, or test the vulnerability of our systems without written permission.
• Resell or sublicense the Service except as expressly permitted in writing.
• Use the Service to build a competing gateway that primarily reproduces Phthos without authorisation.

You are solely responsible for prompts, files, and data you send through the Service and for compliance with upstream model provider terms.

4. Third-party providers

Phthos routes requests to third-party AI and infrastructure providers you configure. Those providers are not controlled by Phthos; their availability, pricing, and policies apply in addition to these Terms. You must maintain valid credentials and comply with each provider’s acceptable use requirements.

5. Plans, credits, and billing

• Paid plans unlock features; usage is metered in credits as described on our pricing page.
• Subscriptions and payments are processed by Stripe. By subscribing, you also agree to Stripe’s applicable terms.
• Fees are billed in advance per billing period unless stated otherwise. Taxes may apply.
• If usage exceeds included credits, additional operations may be blocked until the next billing period unless otherwise agreed.
• We may change prices or plan limits with reasonable notice; continued use after changes constitutes acceptance.

6. Free and beta features

Free tiers and beta features are provided “as is” and may have lower limits, less support, or be withdrawn at any time. Public beta functionality may change frequently.

7. Intellectual property

Phthos owns the Service, software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription or free access period, subject to these Terms.

You retain ownership of content you submit. You grant Phthos a licence to host, process, transmit, and display that content solely to operate and improve the Service, including forwarding to providers you select.

8. Confidentiality and security

You must protect API keys and workspace secrets. Notify us promptly at hello@phthos.ai if you suspect unauthorised access.

9. Privacy

Our Privacy Policy explains how we collect and use personal information. It is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHTHOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE OR INCOMPLETE; YOU MUST REVIEW OUTPUTS BEFORE RELYING ON THEM.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHTHOS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO PHTHOS IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD $100.

12. Indemnity

You will defend and indemnify Phthos against claims arising from your content, your use of the Service, or your violation of these Terms or applicable law.

13. Suspension and termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, or if continued provision poses security or legal risk. You may stop using the Service at any time. Upon termination, your right to use the Service ends; provisions that by nature should survive will survive.

14. Governing law

These Terms are governed by the laws applicable to Phthos’s operating entity, without regard to conflict-of-law rules, except where mandatory consumer protections in your country apply. Disputes should first be raised with hello@phthos.ai so we can attempt to resolve them informally.

15. Changes

We may update these Terms by posting a revised version on this page. If changes are material, we will provide notice through the Service or email where practicable. Continued use after the effective date constitutes acceptance.
